株式会社Anotherworker（以下、「当社」と言います。）は、お客様に、本アプリケーションソフトウェア「fxLooper バーション3」（以下、「本ソフトウェア」と言います。）を使用する権利を下記の条件で許諾します。

第1条（定義）

1. 「モジュール」とは、ソフトウェアを構成する個々の要素をいいます。本ソフトウェアは、一つの「基本モジュール」と複数の「オプションモジュール」から構成されます。

2. 「基本モジュール」とは、本ソフトウェアを構成するモジュールのうち、大部分の機能を包括する基盤となるモジュールです。

3. 「オプションモジュール」とは、本ソフトウェアを構成するモジュールのうち、リモートコンピュータにおける実行機能や外部アプリケーションとの連携機能などを有する付加的なモジュールです。

4. 「限定機能」とは、基本モジュールが提供する機能のうち、.fx.pyファイルまたはそれに準ずるファイルによって記述されたプログラムの計算実行機能をいいます。

5. 「基本機能」とは、基本モジュールが提供する機能のうち、限定機能を除くすべての機能をいいます。

6. 「ライセンス」とは、契約書で許諾された範囲内においてソフトウェアを利用することができる権利をいいます。

7. 「基本モジュールライセンス」とは、基本モジュールの限定機能を使用するために必要となるライセンスをいいます。

8. 「基本モジュール特別ライセンス」とは、基本モジュールの基本機能を使用するために必要となるライセンスをいいます。

9. 「オプションモジュールライセンス」とは、各種オプションモジュールを使用するために必要となるライセンスをいいます。

10. 「ライセンスファイル」とは、お客様に許諾された本ソフトウェアの各種ライセンスの種類、個数および有効期間などの情報ならびにこれらの情報を証明する暗号化されたキーが記載されたコンピューター上のファイルをいいます。

第2条（著作権）

本ソフトウェアに関する著作権等の知的財産権は、当社に帰属し、または第三者から正当なライセンスを得たものであり、本ソフトウェアは、日本およびその他の国の著作権法ならびに関連する条約によって保護されています。

第3条（権利の許諾）

1. お客様は、お客様が所有する複数台のコンピューターに本ソフトウェアをインストールすることができます。

2. お客様は、本ソフトウェアの基本モジュールライセンスを新規購入することにより、基本モジュール特別ライセンスが付与され、基本モジュールライセンスの有効期間にかかわらず、本ソフトウェアの基本機能を永続的に使用することができます。

3. お客様は、本ソフトウェアの基本モジュールライセンスおよびオプションモジュールライセンスを新規購入または更新することにより、ライセンスが定める期間において、ライセンスが定める機能を使用することが可能となります。本ソフトウェアのライセンスを新規購入されたお客様にはUSBドングルおよびライセンスファイルが、本ソフトウェアのライセンスを更新されたお客様にはライセンスファイルがそれぞれ提供されます。お客様は、基本モジュールの限定機能およびオプションモジュールの機能を使用するために、本ソフトウェアが稼働するコンピューターに有効なUSBドングルを装着するとともに、有効なライセンスファイルを本ソフトウェアに登録する必要があります。

第4条（制限事項）

1. お客様は、いかなる方法によっても、本ソフトウェアの改変、権利保護を目的に予め設定された技術的な制限の解除、無効化をすることはできません。ただし、適法と認められる場合はこの限りではありません。

2. お客様は、本契約書に明示的に許諾されている場合を除いて、本ソフトウェアを、使用、複製することはできません。

3. お客様には本ソフトウェアを第三者に使用許諾する権利はなく、またお客様は本ソフトウェアを第三者に販売、貸与またはリースすることはできません。

第5条（限定保証）

1. 本ソフトウェアは、一切の保証なく、現状で提供されるものであり、当社はその商品性、特定用途への適合性をはじめ、明示的にも黙示的にも本ソフトウェアに関して一切保証しません。本ソフトウェアに関して発生するいかなる問題も、お客様の責任および費用負担により解決されるものとします。

2. 本ソフトウェアに付随するUSBドングルは、基本モジュールライセンスの有効期間中において、初期不良または自然故障の場合に限り、無償にて交換します。軽度な物理的破損を伴う故障の場合は、有償により交換します。いずれの場合も、お客様から当社へUSBドングルを送付する際の送料等の諸経費はお客様に負担いただきます。また、重度な物理的破損（当社が付与したUSBドングルであると判別できないほどの破損）を伴う故障または盗難を含むUSBドングルの紛失の場合は、当社はUSBドングルの交換または再発行には応じません。この場合、お客さまは本ソフトウェアのライセンスの残りの有効期間を喪失したものとみなされます。

第6条（責任の制限）

当社は、本契約その他いかなる場合においても、結果的、付随的あるいは懲罰的損害について、一切責任を負いません。お客様は、本ソフトウェアの使用に関連して第三者からお客様になされた請求に関連する損害、損失あるいは責任より当社を免責し、保証するものとします。

第7条（契約期間）

1. 本契約は、お客様が本ソフトウェアをお客様のコンピューターにインストールされた日をもって発効し、次によって終了されない限り有効に存続するものとします。

2. お客様が本契約のいずれかの条項に違反したときは、当社は、お客様に対し何らの通知、催告を行うことなく直ちに本契約を終了させることができます。その場合、当社は、お客様の違反によって被った損害をお客様に請求することができます。なお、本契約が終了したときには、お客様は直ちにお客様のコンピューターに保存されている本ソフトウェアを破棄するものとします。

第8条（準拠法）

本契約は特段の定めのない限り日本国法を準拠法とします。

Anotherworker Inc. (hereinafter referred to as "the Company") grants the Customer the right to use this application software, "fxLooper Version 3" (hereinafter referred to as "the Software"), under the following conditions.

Article 1. Definitions

1. "Module" refers to individual elements that constitute the Software. The Software consists of one "core module" and multiple "optional modules."

2. "Core module" refers to the foundational module that encompasses most of the functions constituting the Software.

3. "Optional modules" refer to additional modules within the Software that include features such as remote computer execution capabilities and integration with external applications.

4. "Limited functionality" refers to the calculation execution features of programs described in .fx.py files or equivalent files provided by the core module.

5. "Core functionality" refers to all functions provided by the core module, excluding the limited functionality.

6. "License" refers to the right to use the Software as permitted under this agreement.

7. "Core module license" refers to the license required to use the limited functionality of the core module.

8. "Core module special license" refers to the license required to use the core functionality of the core module.

9. "Optional module licenses" refer to the licenses required to use each optional module.

10. "License file" refers to a file on a computer containing information on the types, number, and validity periods of the licenses granted to the Customer, as well as an encrypted key that certifies this information.

Article 2. Copyright

The copyright and other intellectual property rights related to the Software are owned by the Company or licensed from third parties. The Software is protected by copyright laws and relevant treaties in Japan and other countries.

Article 3. Grant of Rights

1. The Customer may install the Software on multiple computers owned by the Customer.

2. By purchasing a new core module license for the Software, the core module special license is granted, allowing the Customer to use the core functionality of the Software permanently, regardless of the validity period of the core module license.

3. By purchasing or renewing the core module license and optional module licenses for the Software, the Customer may use the functions specified by those licenses during their defined periods. The Customer who purchases a new license for the Software will be provided with a USB dongle and a license file, while the Customer who renews their licenses will be provided with a license file. The Customer needs to attach a valid USB dongle to the computer running the Software and register a valid license file in the Software to use the limited functionality of the core module and the functions of the optional modules.

Article 4. Restrictions

1. The Customer may not alter the Software, disable or bypass technical protections in place for rights management, by any means. However, this does not apply when legally permissible.

2. The Customer may not use or duplicate the Software, except as explicitly permitted by this agreement.

3. The Customer has no right to grant a license to use the Software to third parties, and the Customer may not sell, lease, or rent the Software to third parties.

Article 5. Limited Warranty

1. The Software is provided "as is" without any warranty, and the Company makes no explicit or implicit guarantees, including but not limited to its merchantability or fitness for a particular purpose. Any problems related to the Software shall be resolved at the Customer's responsibility and expense.

2. The USB dongle that accompanies the Software will be replaced free of charge only in the case of initial defects or natural failures during the validity period of the core module license. In case of minor physical damage, the replacement will be charged. In either case, the shipping costs and other expenses for sending the USB dongle from the Customer to the Company will be borne by the Customer. In case of severe physical damage (to the extent that it is unrecognizable as a USB dongle issued by the Company) or loss including theft, the Company will not replace or reissue the USB dongle. In such cases, the remaining validity period of the Customer's Software license will be considered forfeited.

Article 6. Limitation of Liability

The Company shall not be liable for any consequential, incidental, or punitive damages under this agreement or any other circumstances. The Customer agrees to indemnify and hold the Company harmless for any damages, losses, or liabilities arising from claims made by third parties against the Customer arising from the use of the Software.

Article 7. Contract Period

1. This agreement becomes effective from the date on which the Customer installs the Software on their computer and shall remain in effect unless terminated as described below.

2. If the Customer violates any provisions of this agreement, the Company may terminate this agreement immediately without prior notice to the Customer. In such cases, the Company may claim compensation for any damages suffered due to the Customer's violation. Upon termination of this agreement, the Customer must immediately destroy the Software stored on their computers.

Article 8. Governing Law

This agreement shall be governed by Japanese law, except as otherwise expressly provided.
